1. Acceptance of Terms

By accessing or using ClientDesk ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these terms from time to time, and continued use constitutes acceptance of any changes.

2. Description of Service

ClientDesk is a SaaS platform that provides freelancers with branded client portals for sharing project updates, files, and status information with their clients. The Service includes file storage, project tracking, and portal customization features.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Billing and Payments

Paid plans are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel at any time, with access continuing until the end of the current billing period. Refunds are handled on a case-by-case basis. Prices may change with 30 days' notice.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all content you upload. We will not sell, share, or use your data for purposes unrelated to providing the Service. See our Privacy Policy for full details.

6. Storage Limits

Each plan includes specific storage and client limits. Free tier includes 1 GB of storage and 1 client. Exceeding your plan limits may require an upgrade. We reserve the right to remove content that exceeds your plan's storage allocation after reasonable notice.

7. Acceptable Use

You agree not to use the Service for any unlawful purpose, to upload malicious files, to attempt to gain unauthorized access to our systems, or to interfere with other users' access to the Service. We reserve the right to suspend or terminate accounts that violate these terms.

8. Intellectual Property

You retain all rights to content you upload. ClientDesk retains all rights to the Service, including its design, code, and branding. You may not copy, modify, or reverse-engineer any part of the Service.

9. Termination

Either party may terminate at any time. Upon termination, your data will be retained for 30 days, after which it may be permanently deleted. You may request data export before account closure.

10. Limitation of Liability

The Service is provided "as is" without warranties of any kind. ClientDesk shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

11. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or a notice within the Service at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance.
